End User License Agreement (EULA)

1. License Grant

1.1 License

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on iOS devices that you own or control, solely for your personal, non-commercial use.

1.2 Restrictions

You may not:

• Copy, modify, or create derivative works of the App or any part thereof
• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the App
• Rent, lease, lend, sell, redistribute, or sublicense the App
• Remove, alter, or obscure any proprietary notices on the App
• Use the App for any illegal or unauthorized purpose
• Use the App in any way that could damage, disable, overburden, or impair the App
• Attempt to gain unauthorized access to any systems or networks connected to the App

2. Ownership and Intellectual Property

2.1 App Ownership

The App, including all content, features, functionality, and intellectual property rights, is owned by us or our licensors. This Agreement does not transfer any ownership rights to you.

2.2 Your Content

You retain all rights to the audio recordings, transcriptions, and other content you create using the App ("Your Content"). We do not claim any ownership over Your Content. As stated in our Privacy Policy, all Your Content is processed and stored exclusively on your device, and we do not have access to it.

2.3 Trademarks

"Scribr" and associated logos are trademarks owned by us. You may not use these trademarks without our prior written permission.

3. System Requirements

The App requires:

• iOS 26.0 or later for full functionality
• An iPhone or iPad with Apple Intelligence support (for AI features)
• Microphone access for live transcription features
• Sufficient storage space for your transcriptions

Some features may not be available on older devices or iOS versions. We are not responsible if the App does not work on your device.

4. App Store Terms

Your use of the App is also subject to Apple's App Store Terms of Service. In the event of any conflict between this Agreement and Apple's terms, Apple's terms shall prevail. You acknowledge that:

• This Agreement is between you and us, not with Apple
• We, not Apple, are solely responsible for the App and its content
• Apple has no obligation to provide maintenance or support for the App
• Apple is not responsible for addressing any claims by you or third parties relating to the App
• Apple is a third-party beneficiary of this Agreement and may enforce it

5. Updates and Modifications

5.1 App Updates

We may provide updates, enhancements, or modifications to the App from time to time. These updates may:

• Add new features or functionality
• Fix bugs or improve performance
• Require you to accept updated terms

You may need to install updates to continue using the App. We recommend enabling automatic updates.

5.2 Changes to Terms

We reserve the right to modify this Agreement at any time. We will notify you of significant changes through:

• In-app notifications
• Email (if you've provided one)
• Updates on our website

Your continued use of the App after changes constitutes acceptance of the new terms.

6. Subscription and Payment Terms

6.1 Free and Paid Features

Scribr offers both free and paid subscription tiers. Free features include limited transcription minutes. Paid subscriptions unlock:

• Unlimited transcription
• Advanced AI summary types
• Custom summary features
• Priority support

6.2 Subscription Terms

Subscriptions are handled through Apple's in-app purchase system. By subscribing, you agree to:

• Be charged through your Apple ID account at purchase confirmation
• Automatic renewal unless canceled at least 24 hours before the current period ends
• Renewal charges posted to your account within 24 hours before the period ends
• Manage subscriptions and turn off auto-renewal in your Apple ID Account Settings

6.3 Refunds

All purchases are processed through Apple. Refund requests must be made through Apple's refund system. We do not have access to process refunds directly.

6.4 Free Trials

If we offer a free trial, you'll be charged when the trial ends unless you cancel before the trial period expires. The full subscription price will be charged at the start of your first paid period.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We disclaim all warranties, including but not limited to:

• Accuracy: We do not guarantee that transcriptions will be 100% accurate. Speech recognition technology has limitations.
• Availability: The App may not be available at all times or work perfectly on all devices.
• Fitness for Purpose: We do not warrant that the App will meet your specific requirements.
• Error-Free: The App may contain bugs or errors.

CRITICAL USE DISCLAIMER: The App is not designed or intended for use in critical situations including but not limited to medical, legal, or life-safety applications. Do not rely on the App for such purposes.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Damages resulting from inaccurate transcriptions
• Damages resulting from lost or corrupted data
• Damages arising from your inability to use the App or access your content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM, OR $50 IF YOU HAVEN'T PAID ANYTHING.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so these limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use or misuse of the App
• Your violation of this Agreement
• Your violation of any law or rights of a third party
• Your Content or any content you create using the App

10. User Conduct and Acceptable Use

10.1 Acceptable Use

You agree to use the App only for lawful purposes. You may not:

• Use the App to record conversations without the knowledge and consent of all parties (where required by law)
• Use the App to create or distribute illegal, harmful, or offensive content
• Violate any local, state, national, or international law
• Infringe on the intellectual property rights of others
• Attempt to bypass any security features of the App

10.2 Recording Laws

IMPORTANT: You are responsible for complying with all applicable laws regarding audio recording in your jurisdiction. This includes laws about:

• One-party vs. two-party consent for recording
• Recording in private vs. public spaces
• Recording phone calls or virtual meetings
• Workplace recording policies

We are not responsible for your use of recordings or transcriptions. You must ensure you have proper consent before recording.

11. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into this Agreement. By using the App, you consent to our privacy practices as described in the Privacy Policy.

Key Privacy Points:

• All processing happens on your device
• We do not collect or store your transcriptions
• No data is transmitted to our servers
• You maintain full control over your content

12. Termination

12.1 Termination by You

You may terminate this Agreement at any time by:

• Uninstalling the App from your device
• Canceling your subscription (if applicable)
• Deleting your data through the App

12.2 Termination by Us

We may terminate or suspend your access to the App immediately, without prior notice, if:

• You breach this Agreement
• We are required to do so by law
• We discontinue the App

12.3 Effect of Termination

Upon termination:

• Your license to use the App ends immediately
• You must delete the App from all devices
• Your data remains on your device (we don't have access to delete it)
• Paid subscriptions may not be refunded (see Section 6.3)

13. Governing Law and Dispute Resolution

13.1 Governing Law

This Agreement is governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from this Agreement or your use of the App shall be resolved through:

1. Informal Resolution: Contact us first to resolve issues informally
2. Mediation: If informal resolution fails, disputes will be resolved through mediation
3. Binding Arbitration: If mediation fails, disputes will be resolved through binding arbitration in [Your Jurisdiction]

CLASS ACTION WAIVER: You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions or class arbitrations.

14. Export Compliance

The App may be subject to export laws and regulations. You agree to comply with all applicable export laws and not to export or re-export the App to countries or persons prohibited by law.

15. Accessibility

We strive to make the App accessible to users with disabilities. If you encounter accessibility issues, please contact us so we can improve.

16. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and us regarding the App and supersedes all prior agreements and understandings.

19. Acknowledgment

BY INSTALLING, DOWNLOADING, OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS.

If you do not agree to this Agreement, do not install, download, or use the App.
